Job summary

CBIZ Talent Solutions partners with a West Los Angeles law firm to hire a Corporate Paralegal focused on M&A transactions. Requires 7+ years of corporate paralegal experience in a law firm and an ABA-approved paralegal certificate. Hybrid role with two remote days per week after training.

The role supports attorneys on private company transactions, governance matters, and entity formations, with extensive document coordination and closing processes.

Qualifications

• Bachelor's degree and ABA-approved paralegal certificate are required.
• 7+ years of corporate paralegal experience in a mid-size to large law firm.
• Experience with corporate governance and California business entities.

Responsibilities

• Support attorneys in M&A, financings, reorganizations, divestitures and other private company transactions.
• Manage transaction checklists, closing schedules, timelines, and deliverables.
• Coordinate execution and delivery of documents.
• Maintain electronic closing binders and final transaction records.
• Maintain corporate records, including minute books and operating agreements.
• Coordinate formation, qualification, amendment, merger, and dissolution of entities.
• Maintain compliance calendars and annual reports, filings, and licenses.
• Assist with equity administration and capitalization records.
• Coordinate with outside counsel and other service providers.
