Century City law firm seeks an experienced Corporate Paralegal to support attorneys with formations, governance, transactions, and regulatory filings.

The ideal candidate has 3+ years of paralegal experience in a law firm, a 4-year degree or equivalent, and an ABA-approved certificate. Strong drafting, research, and organizational skills are essential for success in a fast-paced, detail-oriented environment.

Qualifications

• 3+ years of Corporate Paralegal experience in a law firm or comparable legal environment.
• Four-year college degree or equivalent education and experience.
• ABA-approved Paralegal Certificate required.
• Strong knowledge of corporate formations, governance, and entity maintenance.
• Experience supporting corporate transactions and regulatory filings.
• Excellent drafting, research, proofreading, and organizational skills.
• Strong attention to detail and ability to manage multiple deadlines.
• Excellent communication skills and ability to work independently and collaboratively.

Responsibilities

• Prepare formation, organizational, and dissolution documents for corporations, nonprofits, LLCs, and partnerships.
• Draft corporate governance documents, including bylaws and operating agreements.
• Assist with corporate purchase and sale transactions and related documentation.
• Prepare stock, membership interest, and partnership interest assignments.
• Organize, review, and maintain due diligence materials.
• Coordinate annual corporate, regulatory, and tax filings.
• Prepare estate planning gifting documents, deeds, and property transfer documents.
• Conduct corporate and legal research as needed.
• Monitor Secretary of State requirements and communicate relevant updates.
• Maintain accurate documentation and ensure timely completion of assignments.
