Job summary

Versant Media is seeking a Manager, Corporate Governance to support the Board of Directors, corporate governance, and entity management for our growing public company. The role involves coordinating board activities, managing governance records, and assisting with SEC compliance while partnering with Legal, Finance, and Tax teams.

Qualifications

• Bachelor’s degree is required.
• 6+ years of experience managing corporate governance and legal entity matters within a public company’s in-house legal team.
• Proficiency with SEC, governance, entity management, disclosure tools, including EDGAR Filer Management, Diligent, Workiva, Outlook, Word, and Asana.

Responsibilities

• Support Board and Corporate Governance including materials, minutes, consents, and governance records.
• Coordinate board/committee meeting logistics and follow-ups.
• Assist with director appointments, elections, annual consents, dividends, and corporate actions.
• Maintain entity management systems and respond to internal requests for governance documents.
• Support M&A, financings, and reorganizations by organizing entity data and organizational documents.
• Assist with SEC/ Nasdaq reporting and EDGAR filing processes and related compliance workflows.
