Job summary

Fujifilm Holdings America Corporation in Valhalla, NY, seeks a Counsel to provide business-focused legal advice on commercial agreements, IP, and risk management across its global CDMO activities.

You will draft and negotiate MSAs, SOWs, licenses, and NDAs, support program teams, and help implement contracting standards and training.

The role requires U.S. bar admission, 3–8 years in law, and comfort with global collaborations and emerging tech in legal processes.

Qualifications

• Juris Doctor degree from an accredited law school.
• Admitted to at least one U.S. state bar; North Carolina admission preferred.
• 3–8 years of relevant experience in a law firm or in-house setting.
• Strong background drafting and negotiating complex services, licensing, and confidentiality agreements.
• Independent judgment with ability to escalate when needed.
• Excellent negotiation, written communication, and presentation skills.
• Ability to manage workload in a global, matrixed environment.
• Familiarity with GMP, data privacy, competition, anti-bribery, and pharma regulation is a plus.
• Experience with international contracting and multi-jurisdictional issues preferred.
• Proficiency with legal tech and contract lifecycle management; openness to AI.

Responsibilities

• Draft, review, and negotiate MSAs, SOWs, supply, development, and licenses.
• Advise teams on legal and contractual issues arising from collaborations and bids.
• Identify risks and escalate material, high-risk matters to senior counsel.
• Manage an assigned caseload with independence and clear status updates.
• Provide guidance on IP licenses, background/foreground IP, and know-how.
• Prepare briefings and recommendations for management.
• Develop templates, playbooks, and contracting standards across functions.
• Deliver legal training on contracting and compliance topics.
• Support contract lifecycle management and data-driven improvements.
• Coordinate with internal experts and outside counsel on regulatory, disputes, and corporate matters.
• Assist with dispute avoidance and cross-functional legal support.
• Collaborate across US, UK, Denmark, and global FUJIFILM teams.
