Job summary

Fujifilm Holdings America Corporation seeks a versatile Counsel to provide practical, business-focused legal advice across the CDMO and life-sciences footprint. You will draft and negotiate a broad range of commercial agreements, support cross-functional teams, and help implement contracting standards and templates globally.

Independent work on matters with senior attorneys, plus collaboration with regional experts, is expected.

Qualifications

• Juris Doctor from an accredited law school (academic honors preferred).
• Active membership in at least one U.S. state bar; NC admission preferred.
• 3–8 years of relevant experience in law firm or in-house, life sciences preferred.
• Strong drafting and negotiation of complex services, development, licensing, and confidentiality agreements.
• Ability to manage a substantial workload in a dynamic, global environment.
• Familiarity with GMP, data privacy, competition, anti-bribery, and regulated environments preferred.
• Experience with legal technology and contract lifecycle tools; openness to AI use.

Responsibilities

• Draft, review, and negotiate MSAs, SOWs, supply, development, and licensing agreements.
• Advise cross-functional teams on legal and contractual issues and support deal closure.
• Identify and mitigate legal and business risks, escalating high-risk matters.
• Manage an assigned caseload with independent prioritization and clear communication.
• Provide IP and licensing guidance in coordination with patent counsel.
• Prepare briefings and recommendations for business partners and management.
• Develop templates, playbooks, and contracting standards across functions and regions.
• Deliver legal training on contracting, precedents, and compliance topics.
• Support improvements in contract lifecycle management and data-driven processes.
• Coordinate with internal experts and outside counsel on specialized matters.
• Support dispute avoidance and ancillary legal support to HR, QA, Compliance.
• Collaborate globally to promote consistent standards and risk positions.
