Fujifilm Holdings America Corporation is seeking a Counseling Attorney to provide practical, business-focused legal advice across a global CDMO framework. You will draft and negotiate MSAs, SOWs, licensing, and NDAs while mitigating risk and aligning with strategic customer programs.

The role emphasizes collaboration with commercial, program management, and cross-functional teams to enable timely, customer-focused outcomes.

Qualifications

• JD from an accredited law school; academic honors preferred.
• Admitted to at least one U.S. state bar; NC admission preferred.

Responsabilités

• Draft, review, and negotiate broad commercial agreements (MSAs, SOWs, supply, development, manufacturing, services) to align with business objectives.
• Counsel business teams on legal and contractual issues; support issue resolution and deal closure.
• Identify risks in CDMO and life-sciences spaces; propose practical mitigations; escalate high-risk matters as needed.
• Manage caseload independently; prioritize by business need and deadlines; communicate status clearly to stakeholders.
• Provide advice on IP provisions, licenses, background/foreground IP, and related allocation issues with patent counsel as needed.
• Prepare briefings and recommendations for management on contractual, legal, and compliance topics.
