GEP Worldwide, a global technology and consulting company, seeks an experienced Associate General Counsel to lead entity management, governance, and transactional support across our international business. This corporate-focused role offers direct reporting to the General Counsel and collaboration with Finance, Tax, HR, and external counsel.

• J.D. degree from ABA-accredited law school.
• Active U.S. bar admission or in-house counsel eligibility in NJ.

Responsabilidades

• Lead global entity formation, dissolution, restructuring, and governance across jurisdictions.
• Manage governance docs: operating agreements, bylaws, consents, and records.
• Coordinate with Finance, Tax, HR, registered agents, and external counsel to stay compliant.
• Advise stakeholders on governance requirements and risk-based decisions.
• Support M&A, due diligence, document review, and post-closing integration.
• Draft, review, and negotiate NDAs, LOIs, purchase agreements, and ancillary docs.
• Manage external counsel to deliver timely, business-focused legal support.
