Job summary

Green Key Resources is seeking a Corporate Governance Attorney to oversee and strengthen the organization’s global entity governance framework. You will provide day-to-day legal support for corporate governance matters involving U.S.

and international subsidiaries, partnering with senior Legal professionals and key business functions on entity management, governance, compliance, and strategic corporate projects.

Qualifications

• J.D. from an accredited law school.
• Admission to a U.S. state bar is preferred.
• 3–7 years of relevant corporate law or governance experience.
• Experience with multinational subsidiary structures.
• Strong governance knowledge and legal drafting abilities.
• Excellent organizational and communication skills.

Responsibilities

• Draft and maintain corporate records, including board approvals, consents, minutes, and certificates.
• Provide governance guidance for domestic and international subsidiaries.
• Draft officer appointments, powers of attorney, and incumbency certificates.
• Coordinate with agents and service providers to secure filings and records.
• Establish governance procedures, controls, and policies as regulations evolve.
• Support entity actions: formations, reorganizations, mergers, dissolutions.
• Assist with subsidiary compliance, including KYC and due diligence, audits, and information requests.
• Coordinate board and committee meeting logistics: agendas, materials, resolutions, minutes.
