Job summary

GEP is seeking an experienced Associate General Counsel to lead entity management, corporate governance, and transaction support for its global business. The role offers direct exposure to senior leadership and broad ownership of governance workflows across domestic and international jurisdictions.

The ideal candidate will have hands-on experience with entity formation, maintenance, board approvals, and transaction documents, and will manage multiple priorities in a high-growth environment.

Qualifications

• J.D. from an ABA-accredited law school.
• Active bar membership in New Jersey or eligibility for in-house registration in New Jersey.
• 7+ years of post-bar legal experience in corporate, governance, transactional, M&A, securities, private equity, business, commercial, or in-house work.

Responsibilities

• Lead global entity formation, dissolution, restructuring, maintenance, and governance workflows.
• Coordinate governance documentation and corporate records across jurisdictions.
• Advise stakeholders on governance requirements and entity structure.
• Support M&A, due diligence, closing coordination, and post-closing integration.
• Draft and negotiate corporate and transaction-related documents.
• Manage external counsel and advisers.
