• Strong organizational and deadline management skills.

Our client is an established alternative investment manager. They are seeking a Paralegal to support their Legal and Compliance teams. This role will provide broad support across fund formation, legal documentation, entity management, regulatory filings, and the firm’s compliance program. The Paralegal will work closely with attorneys and compliance professionals and collaborate with colleagues across investment, finance, investor relations, operations, and other teams.

Responsibilities

Fund Formation & Legal Support

• Support the formation, launch, and ongoing maintenance of investment funds and related entities, including coordinating fund documentation and formation-related deliverables.
• Assist with the preparation, review, organization, and execution of fund and corporate documents, agreements, consents, resolutions, certifications, and related materials.
• Coordinate with internal stakeholders and outside counsel on fund formation, entity governance, corporate filings, and other legal matters.
• Maintain corporate and fund records, entity documentation, organizational charts, governance materials, contract databases, and document repositories.
• Coordinate signature collection and document execution processes and maintain organized records of executed agreements.
• Support legal due diligence, transaction closings, and other investment-related or corporate matters as needed.
• Assist with legal filings, information requests, and special projects.

Compliance Support

• Provide support for the firm’s regulatory and compliance program.
• Assist with regulatory filings, registrations, certifications, periodic reporting, and maintenance of compliance records.
• Support compliance policies and procedures, employee attestations, personal trading, gifts and entertainment, outside business activities, and other Code of Ethics requirements.
• Coordinate compliance training, annual and periodic certifications, and related employee communications.
• Assist with regulatory examinations, internal reviews, audits, information requests, and compliance monitoring and testing.
• Maintain regulatory and compliance calendars and help track deadlines and required deliverables.
• Collaborate with Legal, Compliance, Operations, Finance, Human Resources, and investment professionals on cross-functional initiatives.

Qualifications

• Bachelor’s degree required; paralegal certification is a plus.
• Prior paralegal experience supporting an investment manager, private funds practice, law firm, financial institution, or similar environment.
• Direct experience with investment fund formation and related fund documentation is required.
• Familiarity with entity formation and maintenance, governance, legal records, and regulatory filings.
• Exposure to investment adviser compliance programs and employee compliance processes is preferred.
• Excellent organizational skills and attention to detail, with the ability to manage multiple priorities and deadlines.
• Strong written and verbal communication skills and sound judgment when handling confidential information.
• Proficiency with Microsoft Office; experience with legal, compliance, document management, or regulatory systems is a plus.
