Job summary

LawStaff Group is seeking a Fractional Senior Corporate Counsel to support its legal team on a part-time, remote basis in the United States.

You will draft and negotiate MSAs, SaaS agreements, DPAs, and SOWs, advise executives on contract risk and regulatory questions, and help build scalable legal processes across the organization.

Qualifications

• JD and active bar license in good standing.
• 8+ years of commercial and tech transactions experience, including in-house.
• Strong SaaS and cloud contracting background.
• Experience in financial services or regulated industries is a plus.

Responsibilities

• Draft, review and negotiate MSAs, SaaS agreements, partner and channel agreements, DPAs, and SOWs.
• Advise executives on contract risk, regulatory compliance, data privacy, and IP.
• Build and update contract templates, playbooks, and negotiation guidelines.
• Support the legal team on AI governance and technology-related legal matters.
• Manage outside counsel as needed.
