Job summary

Gofractional seeks a Fractional General Counsel in Boston, MA. The role is part-time (approximately 10–20 hours per month) with a hybrid/remote arrangement and reports directly to the Founder & CEO.

The GC will understand the business, identify risks early, and help structure transactions to support growth. Responsibilities include negotiating enterprise MSAs/SOWs/NDAs, vendor and partner agreements, governance/risk management, M&A support, IP/licensing, data privacy, employment matters, and

Qualifications

• 10+ years of experience in corporate/commercial law.
• Exposure to technology companies.
• JD and active member in good standing of at least one U.S. state bar.

Fractional General Counsel

Reports directly to Founder & CEO

Role Overview

This is more than a contract-review role. We are looking for someone who can understand our business, identify risks early, help structure transactions, and build the legal foundation needed to support continued growth.

Key areas of responsibility include:

• Enterprise customer MSAs, SOWs, NDAs and commercial negotiations
• Vendor, subcontractor and strategic partnership agreements
• Corporate governance and risk management
• M&A support, including LOIs, due diligence and acquisition agreements
• Software/SaaS licensing and intellectual property
• AI, data privacy and technology-related legal matters
• Employment and independent-contractor agreements
• International and cross-border transactions
• Coordination and management of specialized outside counsel

Qualifications

• 10+ years of experience in corporate/commercial law
• Substantial exposure to technology companies
• JD and active member in good standing of at least one U.S. state bar

Preferred Skills & Experience

• IT services, enterprise software/SaaS, M&A, intellectual property and international transactions
• Business-minded approach with ability to clearly explain risk and recommend practical solutions
• Experience working directly with executive leadership

Work Arrangement

Approximately 10–20 hours per month, preferably under a predictable monthly retainer arrangement, with the opportunity for the relationship to grow alongside Maitsys. Hybrid / Remote position reporting directly to Founder & CEO.
