Larson Maddox is assisting a rapidly growing fintech/AI company in expanding its in-house legal team by adding a Commercial Counsel. The role focuses on negotiating complex commercial agreements, advising on legal risks, and building scalable contracting processes to support rapid growth.

Formación

• Juris Doctor degree and active bar membership.
• 5+ years drafting and negotiating commercial contracts in tech/fintech.
• Big Law or in-house experience.
• Experience with SaaS, cloud services, licensing, data, privacy, and IP.
• Ability to balance legal risk with business objectives.

Responsabilidades

• Lead negotiations for enterprise contracts, MSAs, subscription, licensing, and partnerships.
• Draft, review, and negotiate technology, software, data, and content agreements.
• Advise internal stakeholders on legal, contractual, and business risks.
• Partner with sales, product, security, and operations to develop practical solutions that support business objectives while managing risk.
• Negotiate agreements with vendors, strategic partners, and third-party data/content providers.
• Provide guidance on intellectual property, data usage rights, privacy, and emerging AI-related legal issues.
• Develop and improve contract templates, negotiation playbooks, approval processes, and scalable legal operations tools.
• Support broader legal and strategic initiatives as the company grows.

Our client, a rapidly growing venture-backed financial technology company focusing on artificial intelligence, data, and financial services is looking to grow its in-house legal team as the business continues to grow, by bringing on a Commercial Counsel.

This is a unique opportunity for an attorney who enjoys partnering directly with the business, negotiating complex commercial agreements, and building scalable legal processes in a fast-paced growth environment. Reporting to the Chief Legal Officer, this person will play a key role supporting the company's commercial contracting function and broader business initiatives. The successful candidate will work closely with sales, product, operations, and security stakeholders while helping develop the legal infrastructure necessary to support continued growth.

Job Responsibilities

• Lead negotiations for a wide range of commercial agreements, including enterprise customer contracts, master service agreements, subscription agreements, licensing agreements, and strategic partnerships.
• Draft, review, and negotiate technology, software, data, and content-related agreements.
• Advise internal stakeholders on legal, contractual, and business risks associated with commercial transactions.
• Partner with sales, product, security, and operational teams to develop practical solutions that support business objectives while appropriately managing risk.
• Negotiate agreements with vendors, strategic partners, and third-party data/content providers.
• Provide guidance on intellectual property, data usage rights, privacy, and emerging AI-related legal issues.
• Develop and improve contract templates, negotiation playbooks, approval processes, and other scalable legal operations tools.
• Support broader legal and strategic initiatives as the company continues to grow.

Qualifications

• Juris doctorate degree and active bar membership
• 5+ years of experience drafting and negotiating commercial contracts, ideally coming from Tech or Fintech
• Big Law and In-House Experience
• Strong background in commercial transactions, technology transactions, software licensing, intellectual property, or related areas.
• Demonstrated experience independently negotiating and closing complex commercial agreements.
• Familiarity with SaaS, cloud services, technology licensing, data licensing, privacy, and intellectual property matters.
• Experience supporting technology, software, AI, data, fintech, or other high-growth businesses is strongly preferred.
• Strong business judgment and an ability to balance legal risk with commercial objectives.
