• JD from an accredited law school (T-14 preferred).

• Three to six years of substantive finance experience at a top-tier law firm.
• Significant experience representing private-equity sponsors, portfolio companies, private companies, and/or other borrowers in secured financing transactions.
• Demonstrated experience with acquisition financings and refinancings.
• Strong knowledge of secured lending and credit-facility documentation, including credit agreements, collateral and guarantee packages, and related transaction documents.
• Experience with leveraged finance, sponsor finance, syndicated lending, private credit, direct lending, or comparable debt-financing work is strongly preferred.
• Excellent drafting, communication, organizational, interpersonal, and client-management skills.
• A collaborative, proactive approach and the ability to manage multiple matters in a fast-paced environment.
• Active membership in the California State Bar.
• Ability to work from the Boston, Denver, or New York office.

Responsibilities

• Represent private-equity sponsors, portfolio companies, private companies, and other borrowers in secured financing transactions.
• Advise clients on acquisition financings, leveraged buyouts, refinancings, recapitalizations, amendments, waivers, and other debt-financing transactions.
• Draft, review, and negotiate credit agreements, commitment letters, term sheets, security agreements, guarantee documentation, intercreditor agreements, and related financing documents.
• Manage transaction workstreams from initial structuring through signing and closing, including conditions precedent, collateral and lien matters, corporate authority, funds flow, and closing deliverables.
• Work on syndicated lending, leveraged lending, private credit, direct lending, asset-based lending, term-loan, revolving-credit, first-lien, second-lien, and unitranche financing arrangements, as applicable.
• Coordinate with sponsor professionals, portfolio-company executives, in-house counsel, lenders, opposing counsel, and advisers.
• Contribute to practice-group initiatives, business development, mentoring, and other firmwide activities.
