Job summary

Uber is seeking a Director of Executive Compensation to lead the development of Compensation Committee materials, oversee executive pay programs, and shape proxy disclosures for Say-on-Pay.

You will partner with Legal, Finance, and Talent Acquisition to ensure compliant, board-ready communications, benchmarking, and equity modeling, while guiding execution across Uber’s high-growth tech environment.

Qualifications

• 10+ years of experience in executive compensation, ideally within high-growth and/or large cap technology companies.
• Direct experience supporting executive compensation decisions, Compensation Committee processes, benchmarking, disclosures, and governance/compliance requirements, and compensation surveys

Responsibilities

• Compensation Committee Materials: Prepare Board-ready decks for quarterly Compensation Committee materials.
• Executive Benchmarking: Partner with independent consultant on benchmarking, peer group changes, and trends.
• Dilution: Maintain models to assess dilution, burn rate, and stock-based compensation expense.
• Executive Offers: Partner with Talent Acquisition on executive offers.
• Proxy Statement: Draft the Compensation Discussion and Analysis (CD&A) with Legal; translate pay decisions into investor-friendly narratives; prepare compensation tables.
• Collaborate with Legal and Finance to ensure alignment with disclosure, governance, and compliance requirements.
• Cross-functionally collaborate within Uber to ensure accurate execution of executive compensation programs.
• Manage special projects as necessary.
