Job summary

Fermi America seeks an EPC Operations Commercial Manager to lead contract and commercial alignment across Operations, Procurement, Project Controls, and Legal. This role ensures terms, notices, and changes are consistent and defensible while supporting lifecycle management of EPC and major vendor agreements.

The position bridges Change Management with Legal, translating field events into commercial actions and providing practical guidance to project teams.

Qualifications

• Bachelor's degree in construction science, construction management, engineering, business, law, or a related field.
• 10+ years of industry experience with at least 2 years in a Commercial Lead or Commercial Manager role.
• Demonstrated expertise in EPC contract structures, change management, claims, and commercial correspondence.
• Experience working directly with legal counsel on contract interpretation, disputes, and formal notices.
• Strong drafting skills for commercial letters, position papers, and executive summaries.
• Ability to work across functions and influence Procurement, Project Controls, Construction, and Legal stakeholders.

Responsibilities

• Serve as SME for EPC, construction, engineering, and major equipment contract terms across Operations.
• Advise on contractual rights, obligations, notice requirements, and remedies under agreements.
• Support contract formation: review drafts, exhibits, and terms for consistency.
• Maintain knowledge of active agreements, including pricing structures, milestones, and payment terms.
• Bridge between Project Controls change management and Legal, ensuring change orders are grounded.
• Review change orders for entitlement, substantiation, and contract compliance; prepare disposition positions.
• Draft and manage commercial correspondence with Legal, including notices and disputes.
• Support claims avoidance and dispute resolution with factual records and analyses for negotiations.
• Track contractual notice periods, cure periods, and deadlines across the portfolio.
• Support Procurement in negotiations and terms alignment for new awards and amendments.
• Ensure flowdown of prime contract requirements into subcontracts and purchase orders.
• Support recovery efforts for credits, backcharges, and overbilling corrections.
• Participate in vendor and contractor commercial meetings as Owner representative.
• Support lender, tenant, and internal diligence requests related to contract and commercial matters.
