Job summary

Requires a four-year degree, law-firm experience, and a paralegal certificate preferred. Proficiency in Word/Outlook/Excel and knowledge of CA/DE corporate law are essential.

Qualifications

• Four-year degree and 4+ years’ ECVC paralegal experience in a growth company or law firm.
• Law firm experience is required; paralegal certificate preferred.
• Proficiency with Word, Outlook, Acrobat and Excel.
• Knowledge of California and Delaware corporate law and securities basics.

Responsibilities

• Draft and file incorporation, formation, qualification, amendment, dissolution and withdrawal documents for corporations and LLCs.
• Prepare board and stockholder consents, resolutions, minutes and related documents.
• Maintain corporate records, minute books and ownership ledgers.
• Administer equity plans and capitalization records using Carta, Shareworks or similar tools.
• Manage transaction closings for financings, mergers and acquisitions.
• Coordinate diligence, data rooms and shareholder communications.
• Obtain, review and analyze information from clients and third parties; ensure file accuracy.
• Track deadlines and coordinate attorney, client and vendor requests.
• Maintain time records and client confidentiality; exercise sound judgment.
