Job summary

Perkins Coie LLP is seeking a seasoned paralegal to support corporate matters for emerging growth companies. The role involves drafting and filing formation documents, preparing consents and resolutions, and maintaining corporate records.

You will administer equity plans using Carta/Shareworks, coordinate closings, and manage diligence and regulatory filings. Strong organizational and confidentiality skills are essential.

Qualifications

• Four-year degree required and law firm experience preferred.
• Paralegal responsibilities with emerging growth companies experience ideal.
• Proficiency in MS Word, Outlook, Excel and Adobe Acrobat required.
• Experience with capitalization platforms (Carta/Shareworks) is a plus.
• Strong organizational, time management, and confidentiality skills.

Responsibilities

• Draft and file incorporation and related corporate documents for various entities.
• Prepare consents, resolutions, minutes, and securities transfer agreements.
• Maintain corporate records, minute books, and filings.
• Administer equity plans and capitalization records in Carta/Shareworks.
• Manage transaction closings for financings, M&A, and other corporate work.
• Coordinate data rooms, diligence, and regulatory filings.
• Obtain and analyze information from clients, vendors, and governmental bodies.
• Conduct research on securities and corporate law; summarize findings.
• Track deadlines; coordinate attorney, client, and vendor requests.
• Maintain time records and client confidentiality; support workload balancing.
