Job summary

Ashurst Perkins Coie is seeking an experienced ECVC paralegal in California to draft, file, and manage corporate documents for entities including corporations and LLCs.

The role requires four years of paralegal experience in a law firm and proficiency with Carta, Pulley, Shareworks, and MS Office. Expect thoughtful handling of confidential information and timely support for complex closings.

Qualifications

• Four-year degree and at least four years as an ECVC paralegal in a growth company.
• Law firm experience is required.
• Paralegal Certificate preferred; strong Word/Excel/Adobe proficiency.

Responsibilities

• Draft and file incorporation, formation, qualification, amendment, dissolution, and withdrawal documents for corporations, LLCs, LPs, and LLPs.
• Prepare board and stockholder consents, resolutions, minutes, certifications, and transfer agreements.
• Maintain organized corporate records, including minute books and state/federal filings.
• Administer equity plans and capitalization records using Carta, Shareworks, or similar platforms.
• Manage transaction closings for financings, mergers, and acquisitions.
• Coordinate due diligence, electronic data rooms, and regulator filings.
• Review information from clients, third parties, and government agencies; analyze and summarize findings.
• Track deadlines and coordinate workload among attorneys, clients, and vendors.
• Maintain time records and client confidentiality; exercise sound judgment.
