Qualifications

Responsibilities

• Draft and file corporate documents for corporations, LLCs, LPs, and LLPs.
• Prepare board and stockholder consents, resolutions, minutes, and related documents.
• Maintain organized corporate records and minute books.
• Administer equity plans and capitalization records using Carta/Shareworks/Pulley.
• Manage transaction closings for financings, mergers, acquisitions, and other corporate transactions.
• Coordinate diligence production and manage data rooms.
• Obtain, review, and analyze information from clients and parties.
• Conduct securities, corporate, and statutory research; summarize findings.
• Track deadlines and coordinate attorney, client, and vendor requests.
• Maintain time records and ensure confidentiality.
