Job summary

Ashurst Perkins Coie is seeking a seasoned ECVC paralegal with four or more years of experience working with emerging growth companies. The role involves drafting and filing corporate documents, maintaining records, and coordinating equity plans using Carta, Shareworks or similar platforms.

The ideal candidate has strong organizational and analytical skills, experience in a law firm, and proficiency in Word, Outlook, and Excel.

Qualifications

• Requires a four-year degree and four-plus years of ECVC paralegal experience with emerging growth companies.
• Law firm experience is required; background in corporate/transaction work preferred.
• Paralegal Certificate is preferred.
• Proficiency in Microsoft Word, Outlook, Adobe, and Excel expected.

Responsibilities

• Draft and file corporate documents for corporations, LLCs, LPs, and LLPs.
• Prepare board and stockholder consents, resolutions, minutes, and related filings.
• Maintain corporate records, minute books, and ownership ledgers.
• Administer equity plans and capitalization data using Carta, Shareworks, or similar platforms.
• Manage closings for financings, mergers, and other corporate transactions.
• Coordinate diligence, maintain data rooms, and handle shareholder communications.
• Obtain and review information from clients and third parties; conduct research and summarize findings.
