Job summary

Perkins Coie LLP is seeking a seasoned ECVC paralegal to support corporate matters in a hybrid Bay Area office. This role focuses on preparing and filing corporate documents, maintaining records, and managing equity plans and closings for transactions.

Ideal candidates will have 4+ years of law firm experience, a four-year degree, and a Paralegal Certificate, with proficiency in Microsoft Office and document management tools. Hybrid work model with strong client service expectations.

Qualifications

• Requires a four-year degree and four-plus years of experience as ECVC paralegal working with emerging growth companies.
• Law firm experience is required.

Responsibilities

• Draft and file incorporation, formation, qualification, amendment, dissolution, and withdrawal documents for corporations, LLCs, LPs, and LLPs.
• Prepare board and stockholder consents, resolutions, minutes, certifications, and securities transfer agreements.
• Maintain organized corporate records including minute books and ownership ledgers.
• Administer equity plans and capitalization records using Carta, Shareworks, or similar platforms.
• Manage transaction closings for financings, mergers, acquisitions, and other corporate transactions.
• Coordinate diligence production, manage electronic data rooms, and handle regulatory filings.
