Job summary

Cardinal Health is seeking a Director, Corporate Development to lead M&A deal execution, upstream strategic planning, deal structuring, and negotiations. This role works with external stakeholders and internal teams to evaluate deals, execute transactions, and develop portfolio strategy.

The position requires strong financial modeling, cross-functional collaboration, and governance, with exposure to executive leadership and high-visibility projects.

Qualifications

• Bachelor’s degree in Finance, Accounting, Economics, Engineering or related field preferred. Advanced degree a plus.
• 6+ years’ experience in corporate development, mergers & acquisitions, investment banking, private equity, venture capital, strategy or finance preferred.
• Direct experience executing M&A transactions from start to finish, utilizing strong financial capabilities and project management skills, including negotiation experience and ability to work with Legal, Tax, Accounting, Treasury, etc. to structure complex transactions.
• Direct experience with M&A valuation and financial modeling, sufficient to lead, coach, and develop team of dedicated valuation and project management resources.

Responsibilities

• Deal Strategy: Develop a business case for acquisitions with competitive market analysis and investment planning.
• Due Diligence: Identify critical due diligence items impacting modeling assumptions.
• Financial Analysis: Build and review financial models and valuation analyses to assess transactions.
• Deal Structuring: Collaborate with Tax, Legal, Accounting and Treasury to structure transactions.
• Deal Approval: Support communications with Cardinal Health leadership and facilitate approval processes.
• Integration Planning: Coordinate integration plans with cross-functional teams.
• Separation Planning: Develop separation plans for divestitures and transition services agreements.
• Compliance and Governance: Ensure legal and regulatory compliance and confidentiality.
