Job description

About the Role:

The Transactions Counsel is responsible for providing well-reasoned, professional legal advice to Wabash and its subsidiaries on a wide range of business-related matters. The goal is to achieve corporate strategy, promote growth, create customer value, ensure compliance with laws, regulations, and policies, and minimize associated risks and liabilities. This role may focus on areas such as purchasing, sales, and other transactions.

Your Responsibilities:

  1. Commercial Transactions:
    • Negotiate, prepare, and collaborate with outside counsel on merger, acquisition, or divestiture agreements, including purchase or sales agreements, joint venture agreements, letters of intent, real estate transactions, and related documentation.
    • Work closely with corporate and business unit leadership to provide proactive legal services.
    • Manage and supervise legal reviews of significant commercial transactions, including drafting, negotiation, and execution of agreements.
    • Develop and implement standard contracting procedures, review processes, delegations of authority, and terms for use by Wabash.
    • Advise business teams on commercial agreements related to sales, distribution, purchasing, supply chain, and employment issues.
    • Conduct training for employees on laws, regulations, risk mitigation, and conflict resolution.
    • Anticipate and mitigate potential legal issues, developing strategies to avoid litigation and reduce risks.
    • Experience with technology development, dealer/distributor programs, compliance programs, publicly traded companies, or joint ventures is a plus.
    • Collaborate with colleagues to develop best practices, policies, and procedures.
  2. Intellectual Property:
    • Negotiate and prepare license and technology agreements.

Qualifications:

  • Juris Doctor Degree from an A.B.A. Accredited Law School.
  • Licensed to practice law in any state, with eligibility for Indiana bar within six months.
  • At least 5 years of legal practice experience, including high-quality law firms and in-house counsel roles. Public company experience is a plus.
  • Experience counseling clients on complex commercial transactions, mergers & acquisitions, and legal risk mitigation.
  • High integrity and sound judgment.
  • Experience with transportation or heavy manufacturing industries, or public companies, is preferred.
  • Ability to work independently, manage multiple projects, and develop creative solutions.
  • Strong teamwork, communication, and strategic partnership skills.
