As a member of our Cepheid Legal and Compliance, you can make an immediate, measurable impact on a global scale, within an environment that fosters career growth and development.

Cepheid is proud to work alongside a community of six fellow Danaher Diagnostics companies. Together, we’re working at the pace of change on diagnostic tools that address the world’s biggest health challenges, driven by knowing that behind every test there is a patient waiting.

As Counsel, Transactions, you will partner across all levels of clinical, medical affairs, marketing, finance, business development, business operations, and sales teams on negotiating, drafting, and reviewing a broad range of agreements. This position is part of the Cepheid Legal Department and will be remote.

In this role, you will have the opportunity to:

  1. Identify, interpret, explain, and advise on various legal issues and associated risks, including transactions with healthcare providers, research institutions, and promotional programs.
  2. Provide risk-balanced, creative, and proactive counsel to relevant business stakeholders to compliantly and ethically achieve strategic objectives.
  3. Develop and implement templates, training and education programs, policies, and procedures related to transactions and contracting processes.
  4. Escalate matters, as appropriate, to collaboratively mitigate risk and propose ways forward with leadership teams.
  5. Stay current on applicable laws, rules, regulations, regulatory guidance, and industry codes, especially concerning healthcare, medical devices, anti-bribery and competition, and share the knowledge across Cepheid Legal and Compliance.

The essential requirements of the job include:

  1. JD degree from an accredited U.S. law school and active bar membership in good standing.
  2. A minimum of 5 years of relevant experience with commercial transactions in a law firm or in-house legal department.
  3. Bachelor’s degree with 8+ years of related work experience OR Master’s degree in field with 6+ years of related work experience.

It would be a plus if you also possess previous experience in:

  1. Commercial transactions in the medical diagnostics or healthcare industry.
  2. Drafting, reviewing, and negotiating various types of agreements.
  3. U.S. healthcare fraud and abuse laws, rules, regulations, regulatory guidance, and industry codes, including the federal Anti-Kickback Statute and False Claims Act.
