A highly respected national law firm is seeking a Securities & Capital Markets Associate Attorney to join its Chicago office.
This opportunity is ideal for an attorney interested in representing public companies, private companies, issuers, underwriters, investment banks, and financial institutions in sophisticated securities offerings and capital markets transactions.
Ideal Background
- 3+ years of securities, capital markets, or corporate transactional experience gained at a sophisticated law firm
- Experience representing public companies, private companies, issuers, underwriters, investment banks, and financial institutions
- Experience handling public and private offerings of equity and debt securities, including IPOs, follow-on offerings, Rule 144A offerings, private placements, and other capital raising transactions
- Experience advising clients regarding SEC reporting, Exchange Act compliance, Securities Act compliance, disclosure obligations, and corporate governance
- Experience drafting and negotiating registration statements, prospectuses, offering memoranda, underwriting agreements, purchase agreements, and related securities documentation
- Experience with public company governance, private equity transactions, mergers & acquisitions, or general corporate matters is preferred
- Strong drafting, negotiation, analytical, organizational, and communication skills
- Ability to independently manage sophisticated transactions while maintaining significant client interaction
- Excellent academic credentials
- J.D. from an ABA-accredited law school required
- Illinois bar admission required or ability to become admitted
