A premier AmLaw 50 firm is seeking a Corporate & Securities Associate Attorney to join its Chicago office.
This opportunity is ideal for an attorney interested in representing emerging growth companies, mature businesses, private equity sponsors, investors, and public and private companies in sophisticated corporate transactions, securities matters, and strategic business counseling.
4–7 years of sophisticated corporate transactional experience gained at a national or international law firm
Experience representing public and private companies, founders, investors, and private equity sponsors across a broad range of industries
Experience handling mergers and acquisitions, strategic transactions, venture financings, growth equity investments, and other corporate finance transactions
Experience advising clients on general corporate matters, including entity governance, board matters, corporate structuring, and day-to-day business counseling
Experience drafting and negotiating commercial agreements, strategic partnership agreements, investment documents, purchase agreements, stockholder agreements, and other complex corporate contracts
Experience with capital raising transactions, securities law matters, and corporate governance is preferred
Ability to independently manage sophisticated transactions while collaborating effectively with multidisciplinary deal teams
Strong drafting, negotiation, analytical, and client counseling skills
Excellent academic credentials
J.D. from an ABA-accredited law school required
Illinois bar admission required or ability to become admitted
