Job summary

Beacon Hill in Chicago is seeking a Corporate Transactional Paralegal to join its Corporate Group on a full-time, hybrid schedule. This role supports attorneys handling mergers and acquisitions, finance transactions, entity management, and governance matters in a fast-paced environment.

The ideal candidate will have 5–7 years of corporate transactional experience and hold a Bachelor's Degree or Paralegal Certificate.

  • Strong organizational and time-management skills with the ability to manage multiple priorities
  • A demonstrated commitment to providing exceptional client service
  • Ability to work occasional overtime as needed

  • Prepare and file UCC Financing Statements
  • Draft and file entity formation and corporate governance documents
  • Prepare and file IRS documents
  • Organize and maintain corporate entity records and minute books
  • Oversee the preparation of electronic closing binders and transaction documentation
  • Utilize the firm's docketing system to track matters and deadlines
  • Prepare and file Form D and Blue Sky filings
  • Communicate regularly with clients, opposing counsel, lenders, title companies, and other third parties throughout the course of a transaction

Job description

A sophisticated mid-sized law firm is seeking a Corporate Transactional Paralegal to join its Corporate Group in Chicago. This is a full-time position supporting attorneys who represent clients ranging from entrepreneurial and middle-market companies to large national and global organizations. The role offers exposure to a wide variety of business, finance, and real estate transactions in a collaborative and fast-paced legal environment.

This position follows a hybrid schedule, with paralegals typically in the office one day per week. More junior candidates may be expected to spend additional time in the office for training and development. The firm operates on a 35-hour work week, offers overtime eligibility, and maintains a 1,300 billable hour requirement. The salary range for this position is $110,000-$125,000, depending on experience.

The ideal candidate will have 5-7 years of corporate transactional paralegal experience, including exposure to mergers and acquisitions, finance transactions, entity management, and corporate governance matters. This role requires someone who is detail-oriented, organized, client-focused, and able to manage multiple priorities in a deadline-driven environment.
