Job summary

Avanti Staffing is assisting a Chicago law firm in hiring an experienced Corporate Finance Paralegal. The role covers deal management from inception through post-closing, including document organization, filing for closings, and post-closing follow-up.

It requires interaction with attorneys, clients, and opposing counsel. Duties include research, organizing records, UCC management, and coordinating closing sets.

Qualifications

  • Minimum 5 years of paralegal experience involving transactional and corporate/securities matters.
  • Certificate from ABA-approved paralegal training program preferred.
  • Ability to work under pressure to meet strict deadlines.
  • Willingness and flexibility to work overtime.

Responsibilities

  • Manage deal-related documents from inception to post-closing.
  • Prepare and file closing documents and organize closing sets.
  • Conduct and summarize UCC, lien, judgment, and bankruptcy searches.
  • Draft transactional documents such as resolutions, opinions, allonges, joinders, certificates and other related documents.
  • Coordinate closing documents and signature packets for execution by multiple parties.
  • Assist attorneys and coordinate with clients, Corporate Services and opposing counsel.

Job description

Chicago law firm has an immediate opening for an experienced corporate finance paralegal. The Corporate Finance Paralegal will be responsible for all aspects of deal management for Finance and other transactions from inception to post-closing, including document organization, preparation and filing of documents for closings, assistance at closings, post-closing management and follow-up and oversee/manage preparation of closing sets. Assistance with document distribution and UCC management. This high-profile position involves direct interface with attorneys, clients, Corporate Services and opposing counsel.

As a Corporate Finance Paralegal, your duties will include but not be limited to:
General
  • Develop and conduct research related to transactions and filings through both print and electronic sources
  • Preliminary organization of records and documents
  • Work with Accounting to manage corporate services vendors, post-completion billing and vendor invoice management
  • Work with Corporate Services Team to manage client information in Corporate Focus
Finance and Transactions
  • Create and update checklists (check in new documents, change status, etc.)
  • Draft transactional documents including resolutions, opinions, allonges, joinders, Secretary's certificates, Incumbency certificates, and other legal documents relating to loan parties
  • Run, order and summarize UCC, state and federal lien, judgment, litigation, and bankruptcy searches
  • Prepare and file various UCC financing statements (UCC-1, Fixture, Amendments, Continuation, and Terminations) for the purpose of securing loans, including notes, mortgages
  • Review and analyze the sufficiency of documentation
  • Order good standing certifications and certified charters
  • Manage, review and organize due diligence materials
  • Prepare and submit 8821 form and W-9 form to IRS
  • Create signature packets and coordinate their execution (both original and PDF) by multiple parties; Prepare and circulate closing documents to all parties for their review and comments
  • Prepare, obtain, and organize required closing certificates and related documents for pre-closing
  • Assemble fully executed closing documents (both original and PDF) with related exhibits, schedules, and attachments
  • Order to obtain post- closing UCC Search to Reflect
  • Prepare transmittal letters and coordinate the delivery of the Notes, intercreditor Agreements, and Deposit Accounts Control Agreements to loan parties
  • Manage/oversee the creation of transactional closing sets or binders and CDs (electronic format) and distribute to appropriate parties
  • Manage the post-closing database to manage post-closing matters and create email reminders
  • Interact and coordinate with various service companies
  • Assist the attorneys with various tasks and assignments
  • Recognize and resolve problems
  • 1500 billable hours target.
  • Strong research and writing skills
  • Willingness and flexibility to work overtime
  • Ability to multi-task
  • Ability to work under pressure on time-sensitive projects
Qualifications & Required Experience:
  • A certificate from an ABA approved paralegal training program preferred
  • Minimum 5 years of paralegal experience involving transactional and corporate/securities matters required
  • Position also requires the ability to work under pressure to meet strict deadlines

Salary is up to $105,000 a year based on experience.
