Chicago, IL (Hybrid)

$100,000 – $165,000 Base + Bonus

Our client, a leading financial services organization, is seeking an experienced Corporate Paralegal to join its in-house legal team. This role offers hands‑on exposure to a wide range of transactional and corporate matters in a fast‑paced, collaborative environment.

Responsibilities

• Support corporate transactions, including entity formations, restructurings, financings, and M&A activities
• Draft and review corporate documents, including resolutions, operating agreements, consents, and transaction‑related materials
• Assist with due diligence for acquisitions, investments, and strategic initiatives
• Maintain corporate records, minute books, and entity management databases
• Coordinate and manage domestic and multi‑state filings, including formations, qualifications, and annual reports
• Partner closely with legal, compliance, and business teams on ongoing initiatives
• Track deadlines, closing checklists, and post‑closing requirements

Qualifications

• 5+ years of corporate/transactional paralegal experience (law firm or in‑house)
• Strong experience supporting corporate governance and complex transactions
• Familiarity with entity management, multi‑state filings, and corporate records maintenance
• Experience with due diligence, contract support, and closing processes
• Highly organized, detail‑oriented, and able to manage competing priorities

Benefits

Personal Time Off (PTO) is offered on an accrual basis up to 184 hours a year, 13 Paid Holidays, and up to 6 weeks of Paid Parental Leave. PTO and holiday hours are prorated based on hire date within the calendar year.
