The Bachrach Group is seeking a detail-oriented Corporate Paralegal to support a broad range of corporate and securities matters. This hybrid role (3 days in office / 2 days WFH) involves corporate formations, private-company financings, M&A, and equity incentive plan administration.

Qualifications

  • Minimum of one year of paralegal experience, preferably involving corporate, securities, transactional, or related legal work.
  • Strong working knowledge of Microsoft Word and Excel.
  • Excellent written and verbal communication skills, with strong command of grammar, organization, and document formatting.
  • Strong analytical and problem-solving abilities.
  • Ability to work effectively with attorneys, clients, and colleagues at varying levels of seniority.
  • Highly organized, dependable, and attentive to detail.
  • Comfortable managing multiple assignments, adjusting to competing priorities, and performing effectively in a deadline-driven environment.
  • Collaborative and team-focused approach to work.

Responsibilities

  • Organize and maintain corporate governance materials, including organizational documents, board actions, equity records, and required filings.
  • Research corporate and securities law issues using applicable state and federal authorities.
  • Support transaction teams with preparation, organization, and review of documents for financings, acquisitions, and related due diligence.
  • Assist with shareholder and equityholder meeting materials, voting documentation, and related records.
  • Coordinate the creation, registration, and maintenance of business entities across multiple jurisdictions.
  • Prepare and update corporate documents, including written consents, resolutions, governance amendments, and partnership or operating agreements.
  • Assist with equity compensation and incentive plan administration, including related securities law compliance matters.
  • Collaborate with attorneys, clients, and internal teams to manage deadlines and transaction deliverables.

Corporate Paralegal (Full-Time, Non-Exempt)

Overview

We are seeking a detail-oriented Corporate Paralegal to support a broad range of corporate and securities matters. This role will work closely with attorneys and clients on business formations, private-company financings, mergers and acquisitions, partnership matters, public offerings, and other corporate transactions.

The position will also provide support for equity incentive plan administration for both private and publicly traded companies, including matters involving compliance with applicable federal and state securities requirements.
