Job description

We are seeking a detail-oriented Corporate Paralegal to support the daily operations of a busy in-house legal department. This role will serve as a key partner to attorneys and business stakeholders by managing corporate governance matters, contract administration, compliance activities, intellectual property records, litigation support, and legal operations processes. The ideal candidate is highly organized, proactive, and comfortable managing multiple priorities in a fast-paced corporate environment.

Key Responsibilities
  • Provide day-to-day support for the in-house legal team and legal operations functions
  • Manage subpoena intake, tracking, and response coordination
  • Maintain and administer contract lifecycle management (CLM) systems and databases
  • Oversee contract execution workflows, including signature routing and DocuSign administration
  • Process and track legal invoices and related expenses
  • Prepare routine corporate resolutions and support corporate governance activities, including obtaining certificates of good standing and maintaining corporate records
  • Coordinate annual filings and entity maintenance with registered agent service providers
  • Manage intellectual property filings, renewals, and related administrative matters
  • Prepare and maintain business registrations, permits, and licenses
  • Support lease administration and facilities-related legal matters
  • Assist with subcontractor compliance and vendor management processes, including evaluating and implementing management tools
  • Monitor and facilitate entity compliance requirements across jurisdictions
  • Support insurance renewal applications and related information gathering
  • Prepare and administer litigation hold notices and tracking processes
  • Assist with regulatory certifications and compliance documentation
  • Review and process routine agreements, including non-disclosure agreements (NDAs)
  • Generate reports and analytics from legal technology platforms
  • Support due diligence efforts, document management, and data room administration for corporate transactions
  • Provide administrative and project support to attorneys and contract management professionals as needed
Qualifications
  • Bachelor’s degree preferred, ideally in Paralegal Studies, Legal Studies, Business Administration, or a related field
  • 4–8 years of experience as a corporate paralegal, legal operations professional, or a combination of law firm and in-house legal experience
  • Demonstrated experience supporting the operations of a corporate legal department
  • Strong understanding of commercial contracts, corporate governance, entity management, compliance processes, and litigation support
  • Excellent written and verbal communication skills
  • Exceptional organizational, project management, and attention-to-detail capabilities
  • Ability to manage competing priorities and meet deadlines in a dynamic environment
  • Experience with CLM platforms (Conga experience is a plus), DocuSign, Salesforce, CSC, or similar legal technology tools
  • Interest in leveraging AI and emerging technologies to improve efficiency and productivity
  • Strong problem-solving skills and a collaborative, service-oriented mindset
