Job summary

Jobtailor seeks an experienced corporate paralegal to support lawyers and clients in high-level transactional work. You will oversee corporate maintenance for multiple clients and manage filings across securities, governance, and entity formation.

You will handle UCC, closing documents, and regulatory filings with confidentiality and independence, coordinating with teams and vendors to ensure timely delivery.

Qualifications

  • 7-10 years of corporate paralegal experience with public and privately held companies.
  • Four-year degree in a related field or equivalent.
  • Proficiency with Section 16 filing platforms, including EDGAR, hCue, and Workiva.
  • Proficiency with capitalization-management platforms such as Carta and Shareworks.
  • Exceptional organizational, analytical, and communication skills.
  • Ability to build effective relationships, exercise sound judgment, maintain discretion, and work independently.
  • Knowledge of California and Delaware corporate law.
  • Knowledge of federal and state securities laws.
  • Knowledge of Rule 701 analysis.
  • Advanced Microsoft Office skills including Excel.
  • Proficiency with Adobe Acrobat.
  • Document proofreading, redlining, and comparison skills.
  • Accurate timekeeping.
  • Preferred: Paralegal certificate or degree.
  • Preferred: IPO or SPAC experience.
  • Preferred: Secured lending experience.

Responsibilities

  • Assist lawyers and clients with corporate and transactional paralegal duties under minimal supervision.
  • Maintain positive client contact and observe confidentiality.
  • Oversee corporate maintenance for numerous clients across multiple industries.
  • Support public and private company securities compliance matters, including beneficial ownership tables, EDGAR Next management for individual filers, Section 16 and Schedule 13 reporting, and Rule 13H filings.
  • Prepare, file, and maintain corporate governance and entity-formation documents for corporations, LLCs, LPs, and LLPs.
  • Manage ownership records, state and federal filings, amendments, dissolutions, and withdrawals.
  • Conduct UCC, corporate, and statutory diligence.
  • Prepare UCC financing statements, corporate certifications, and closing documents.
  • Manage closings for financings, mergers, and acquisitions.
  • Maintain confidential client records and electronic data sites.
  • Coordinate with lawyers, clients, vendors, and paralegal teams on requests, workloads, regulatory filings, and client service.

Job description
