Chelsea Search Group is seeking a Senior Corporate Paralegal to support corporate formations, closings, and regulatory filings in a fast-paced environment. The role emphasizes accuracy, discretion, and strong interpersonal skills in handling sensitive information.

The ideal candidate will bring 5+ years of transactional experience in Private Equity, Capital Markets, and M&A, plus advanced Excel and MS Office proficiency. This position is on-site in Colorado, with overtime as required.

Qualifications

  • Bachelor's degree required for consideration.
  • 5+ years of transactional experience in Private Equity, Capital Markets, and M&A.
  • Oversight of confidential information with discretion.
  • Proficiency in Microsoft Office; advanced Excel preferred.

Responsibilities

  • Assist in formation, maintenance, and dissolution of corporate entities and prepare related documents.
  • Coordinate closings and prepare related documents.
  • Prepare legal opinions and assemble opinion backup.
  • Draft and file corporate and securities filings.
  • Organize corporate records and conduct due diligence reviews.
  • Prepare stock certificates and maintain capitalization tables and option records.
  • Research Blue Sky issues and prepare required filings.
  • Provide training to case assistants and junior paralegals.
  • Other tasks as assigned or required.

Skills & Experience
Required
