Qualifications

• Significant corporate paralegal experience, preferably in-house.
• Strong hands-on experience with governance, filings, minute books, resolutions and related docs.
• Experience supporting entities across multiple states and Canada.
• Experience coordinating litigation matters with outside counsel and stakeholders.
• Ability to independently manage corporate matters, deadlines and priorities.

Responsibilities

• Manage corporate governance for U.S. entities across ~40 states.
• Maintain records, minute books, resolutions and governance docs.
• Handle corporate filings and ensure entities remain compliant.
• Support Canadian entity and coordinate with Canadian outside counsel.
• Review NDAs and flag issues needing attorney review.
• Provide litigation coordination among outside counsel, stakeholders and legal team.
• Assist with discovery and other litigation-related tasks.

Entrusted Advisors is seeking an experienced Corporate Paralegal for an exciting secondment opportunity supporting the growing legal team of one of our clients.

This role will focus primarily on corporate governance and entity management, while also providing litigation support and coordinating matters with outside counsel and internal business stakeholders. The ideal candidate will be an experienced in-house paralegal who can independently manage day-to-day corporate responsibilities and effectively quarterback ongoing litigation matters.

Key responsibilities include:

• Managing corporate governance matters and ongoing requirements for U.S. legal entities, including operations across approximately 40 states
• Maintaining corporate records and minute books and preparing resolutions, consents, and related governance documentation
• Managing corporate filings and ensuring entities remain current with applicable state requirements
• Supporting primarily U.S. entities, with some corporate support for a Canadian entity and coordination with Canadian outside counsel as needed
• Reviewing and approving routine NDAs and identifying issues requiring attorney review
• Providing litigation coordination support, including serving as a liaison among outside counsel, internal business stakeholders, and the legal team
• Assisting with discovery and other litigation-related matters as needed

The ideal candidate will have:

• Significant corporate paralegal experience, preferably within an in-house legal department
• Strong hands‑on experience with corporate governance, entity management, corporate filings, minute books, resolutions, and related documentation
• Experience supporting entities across multiple states and Canada
• Experience coordinating litigation matters and working with outside counsel and internal business stakeholders
• The ability to independently manage corporate matters, deadlines, and competing priorities within a lean legal department
• Strong judgment, organizational skills, and the ability to work effectively with attorneys, business stakeholders, and outside counsel

Location: Detroit, Michigan area. This position is primarily on-site and candidates must be able to work regularly from the Detroit‑area office.
