Job summary

5 Legal is seeking an experienced attorney in Houston, TX to lead M&A matters and complex corporate transactions. The role requires deep knowledge of merger agreements, securities law, and related governance documents, with a focus on private equity-backed deals.

The ideal candidate has at least two years of hands-on deal experience, stellar academic credentials, and a proven track record in law firms handling sophisticated acquisitions.

Qualifications

• Minimum 2 years of experience. Significant involvement in private company acquisitions on behalf of private equity groups is a plus. Stellar academic credentials and comparable law firm experience required.

Responsibilities

• Drafting, reviewing, and negotiating merger agreements, stock purchase agreements, asset purchase agreements, letters of intent and related documents.
• Closing M&A and other corporate transactions with substantial responsibility.
• Conducting thorough due diligence reviews.
• Advising clients on general corporate and business matters.
• Experience with public and private securities law, JV agreements, and LLC operating agreements.
