Qualifications

  • J.D. from an accredited law school and active bar admission.
  • Experience practicing corporate law in a law firm.
  • Experience supporting mergers and acquisitions, business transactions, or corporate governance matters.
  • Strong drafting and transactional experience.
  • Experience representing privately held or middle-market businesses (nice to have).

Responsibilities

  • Assist clients with mergers and acquisitions, corporate transactions, business formations, restructurings, and general corporate matters.
  • Draft, review, and negotiate transaction documents, operating agreements, purchase agreements, and other corporate governance documents.
  • Conduct due diligence and support deal execution from initial structuring through closing.
  • Advise business owners, executives, and private companies on strategic legal and business matters.
  • Collaborate with attorneys across multiple practice areas to provide comprehensive solutions to business clients.

Benefits
  • Base salary ranging from $175,000 to $225,000+, depending on experience.
  • Annual hours bonus paid for all billable hours worked above the firm's 1,800-hour target.
  • 15% origination bonus on collected revenue from self-generated business.
  • Eligibility for profit-sharing contributions, historically ranging from $7,500 to $15,000 annually, based on associate productivity.
