CyberCoders, Inc. is seeking a Corporate Associate to support complex corporate matters, including governance, commercial transactions, and equity financings.

You will draft and negotiate agreements, conduct due diligence, and manage transaction processes, working with deal teams to deliver business-focused results. The ideal candidate has 3+ years of corporate transactional experience, strong drafting and negotiation skills, and the ability to work independently in a hybrid Los Angeles

Qualifications

  • JD from an accredited law school and bar admission in good standing.
  • 3+ years of corporate transactional experience, including M&A and equity financings.
  • Experience drafting and negotiating transaction documents.
  • Strong understanding of corporate governance, securities basics, and tax considerations.
  • Excellent drafting, negotiation, analytical, and project management skills.
  • Ability to work independently and in deal teams.
  • Experience with technology transactions is desirable.
  • Proficiency with document management systems.

Responsibilities

  • Advise clients on a wide range of corporate matters including entity formation, corporate governance, shareholder agreements, and routine commercial contracts.
  • Draft, review, and negotiate transaction documents such as purchase agreements, stock purchase/asset purchase agreements, investment/financing agreements, shareholder and investor agreements, and ancillary transaction documents.
  • Conduct and coordinate due diligence for mergers, acquisitions, divestitures, and equity financings; prepare diligence reports and identify key legal risks and solutions.
  • Support mergers and acquisitions processes including deal structuring, negotiation strategy, preparation of transaction documents, and closing checklists.
  • Assist with equity financing transactions, including private placements, subscription agreements, investor rights, and capitalization table management.
  • Advise on joint venture formation and governance, prepare joint venture agreements, and help manage ongoing JV operations and disputes.
  • Work on technology transactions and commercial agreements such as software licenses, SaaS agreements, and technology development and services contracts (nice-to-have experience).
  • Collaborate with senior attorneys and cross-functional teams to manage timelines, prepare client memoranda, and communicate status updates to clients and internal stakeholders.
  • Maintain organized transaction files, ensure compliance with regulatory and firm policies, and support post-closing integration and filings.

Compensation

$230k - $350k base + bonuses ($380k - $475k total comp)

Position Overview

We are seeking a motivated Corporate Associate to join our transactional team. The Corporate Associate will support complex corporate matters, including governance, commercial transactions, and equity financings, by providing practical legal advice, conducting due diligence, drafting and negotiating agreements, and managing transaction processes. This role is ideal for an attorney with solid corporate transactional experience who can work independently and collaboratively across deal teams to deliver effective business-focused solutions.

  • Excellent drafting, negotiation, analytical, and problem-solving skills, with attention to detail and the ability to manage multiple matters under deadline.
  • Effective client communication and project management skills; ability to work independently and as part of a team.
  • Experience with mergers and acquisitions, equity financing, joint ventures, and technology transactions is highly desirable.
  • Comfortable using document management systems and common legal research and productivity tools.
