Job summary

Jobot is recruiting an experienced Corporate Associate in Houston for a hybrid, permanent role.

The ideal candidate has 5+ years of law firm experience in general corporate matters, with a focus on M&A, securities, and lending/finance. You will draft and negotiate sophisticated deal documents and advise on transactional structuring in a collaborative, cross-border environment.

Responsibilities

• Advise clients on mergers and acquisitions, divestitures, private securities offerings, corporate governance, and other general corporate matters
• Draft, review, and negotiate sophisticated transactional documents, including purchase agreements, merger agreements, shareholder agreements, confidentiality agreements, and related documentation
• Conduct and oversee legal due diligence and prepare findings and reports for clients
• Assist clients with transaction structuring and strategic considerations throughout the deal process
• Manage transactions from initial discussions through negotiation, signing, and closing
• Coordinate with attorneys across practice groups and jurisdictions to address legal and regulatory issues arising during transactions
• Work directly with clients and senior attorneys to provide practical, business-oriented advice
• Supervise and mentor junior associates and paralegals on transactional matters
• Stay current on developments in corporate, securities, and transactional law
• Participate in negotiations and other client-facing matters
• Contribute to a broad-based corporate practice with exposure to a variety of transaction types and industries

The practice represents both public and private companies, with a particular strength in advising middle-market businesses throughout the lifecycle of a transaction.

Job Details
