A bit about us

We are a highly respected AmLaw firm with a sophisticated Corporate practice advising companies, investors, founders, and other business clients on complex transactional matters across a broad range of industries.

Our Corporate team handles mergers and acquisitions, divestitures, strategic alliances, joint ventures, corporate governance, securities matters, financing transactions, and other sophisticated corporate work. The practice represents both public and private companies, with a particular strength in advising middle-market businesses throughout the lifecycle of a transaction.

The team advises clients from the earliest stages of a potential transaction through closing and beyond, providing practical, business-focused guidance on issues ranging from transaction structure and due diligence to negotiation, documentation, regulatory considerations, and post-closing matters.

The practice also has significant experience with cross-border transactions, including acquisitions, dispositions, and strategic alliances involving U.S. and international businesses, as well as regulatory matters involving CFIUS and other governmental agencies.

The platform combines the resources and capabilities of a large, full-service law firm with a more streamlined and collaborative approach. Attorneys work closely with clients and colleagues across practice areas to deliver sophisticated legal solutions while remaining focused on the client's business objectives.

This is an environment where attorneys can work on sophisticated transactions while taking meaningful ownership of their matters, developing client relationships, and building a long-term corporate practice.

Why join us
  • Sophisticated M&A with meaningful responsibility- Work on complex transactions while taking an active role in the deal process. Attorneys have the opportunity to move beyond a narrowly defined role and become meaningfully involved in their matters.
  • A broad-based corporate practice- The practice offers exposure to M&A, securities, corporate governance, strategic transactions, divestitures, joint ventures, and other corporate matters. It is a strong fit for attorneys who want variety rather than being limited to one transaction type.
  • Big-firm resources without a siloed experience- The platform provides the resources, geographic reach, and multidisciplinary capabilities of an AmLaw firm while maintaining a collaborative approach to transactional work.
  • More hands-on deal experience- Lean deal teams create opportunities for associates to become deeply involved in transactions, work directly with senior attorneys, and develop practical deal skills.
  • A place to build a corporate practice- The role offers the opportunity to develop sophisticated transactional experience, strengthen client relationships, and take on increasing responsibility as you progress.
  • International and cross-border exposure- The practice handles transactions involving U.S. and international companies, providing exposure to cross-border deals and regulatory considerations, including CFIUS matters.
  • Long-term career development- The firm places a strong emphasis on mentorship and professional development, creating an environment where attorneys can grow their skills and responsibilities over time.
