Overview
Legal.io is seeking an experienced Commercial Counsel to support the legal team of a leading digital health technology company on a full-time contract engagement.
This role will provide leave coverage for a high-volume commercial legal function, supporting the review, negotiation, and management of a broad range of commercial agreements. The successful candidate will work closely with business stakeholders across the organization, providing practical legal guidance while leveraging established contracting playbooks and workflows to efficiently move transactions to completion.
The ideal candidate is an experienced commercial attorney who enjoys partnering directly with the business and thrives in a fast-paced, technology-driven environment.
Key Responsibilities
- Draft, review, and negotiate a broad range of commercial agreements, including SaaS, technology, professional services, vendor, and other commercial contracts
- Review contract redlines against established legal playbooks and negotiation standards
- Manage contract negotiations from intake through execution, driving timely resolution of outstanding issues
- Partner directly with internal stakeholders to provide practical legal guidance on day-to-day commercial matters
- Support lower-complexity strategic partnership agreements and related commercial initiatives
- Identify issues requiring additional legal review and appropriately elevate higher-risk matters
- Learn and apply existing contracting workflows, negotiation guidance, and legal processes
- Utilize Ironclad and other legal technology tools to manage contract workflow and documentation
- Balance legal risk with business objectives while maintaining a practical, solutions-oriented approach
Qualifications
- Juris Doctor (JD) and active membership in good standing with at least one U.S. state bar
- 4+ years of commercial contracting experience, preferably in-house
- Significant experience negotiating SaaS, software, technology, professional services, and other commercial agreements
- Strong drafting, negotiation, and stakeholder management skills
- Ability to independently manage multiple commercial transactions in a fast-paced environment
- Experience working with Ironclad or a comparable contract lifecycle management (CLM) platform
- Comfortable using AI-enabled legal tools to improve productivity and contract review workflows
- Excellent communication skills and sound business judgment
Preferred Experience
- Experience supporting digital health, healthcare technology, SaaS, or other high-growth technology companies
- Familiarity with HIPAA, Business Associate Agreements (BAAs), and healthcare-related commercial contracting
- Experience supporting healthcare providers, health plans, medical device companies, or digital health platforms
- Prior in-house experience supporting commercial legal teams
- Experience using Ironclad or similar CLM platforms
- Comfortable leveraging AI-assisted legal tools; experience with GCAI or comparable AI platforms is a plus
