Job summary

Entegris, Inc. is seeking a Commercial Counsel to join its Law Department. The role partners with Global Procurement to structure, draft, and negotiate complex procurement agreements and related commercial matters.

The position is based in Billerica, MA or another U.S. location, with remote consideration for the right fit. The successful candidate will provide day-to-day legal advice, improve contract templates, and help advance AI-driven solutions across procurement and sales activities.

Qualifications

• J.D. or equivalent and active bar admission in at least one U.S. jurisdiction.
• 4+ years of commercial contracting experience (procurement and/or sales agreements).
• Experience in semiconductor, manufacturing, or high-tech industries preferred; IT or SaaS agreements experience a plus.
• Strong negotiation, drafting, and issue-spotting skills.
• Ability to manage competing priorities and drive complex negotiations to closure in a fast-paced environment.
• Clear and effective communicator who aligns legal strategy with business objectives.
• Self-starter who can work independently with minimal oversight.
• Experience with or strong interest in AI tools and legal technology.
• Fluency in English required; additional languages are a plus.

Responsibilities

• Serve as a primary legal advisor to Entegris's Global Procurement organization and business stakeholders on commercial matters.
• Review, draft and negotiate supply, contract manufacturing, lease and other complex procurement agreements, with additional support on sales agreements and other commercial transactions as needed.
• Collaborate with Global Procurement and business stakeholders to provide day-to-day legal advice and address issues in active commercial relationships.
• Drive continuous improvement of contract templates, positions, and negotiation strategies.
• Contribute to contract management process improvements, including CLM system enhancements, playbooks and AI-driven solutions.
• Support cross-functional strategic initiatives across procurement, legal, and business teams as needed.
