Job summary

Entegris is seeking a Commercial Counsel to partner with Global Procurement and the business in structuring, drafting, and negotiating complex procurement agreements. The role can be based in Billerica, MA or another U.S. Entegris location, with remote options for the right candidate.

The ideal candidate has a J.D. and 4+ years of commercial contracting experience, preferably in high-tech industries, and is fluent in English.

Qualifications

• The role requires a J.D. or equivalent with active bar admission in at least one U.S. jurisdiction.
• 4+ years of commercial contracting experience (procurement and/or sales agreements).
• Experience in semiconductor, manufacturing, or high-tech industries; IT/SaaS contracts a plus.
• Strong negotiation, drafting, and issue-spotting skills.
• Ability to manage competing priorities and drive complex negotiations to closure in a fast-paced environment.
• Clear communicator who can align legal strategy with business objectives.
• Self-starter who can work independently with minimal oversight.
• Experience with AI tools and legal technology is a plus.
• Fluency in English; additional languages a plus (Chinese/Japanese/Korean).

Responsibilities

• Serve as a primary legal advisor to Entegris's Global Procurement and business stakeholders on commercial matters.
• Review, draft and negotiate procurement, contract manufacturing, lease and other complex procurement agreements; support on sales agreements.
• Collaborate with Global Procurement to provide day-to-day legal advice on active commercial relationships.
• Drive contract template improvements, positions, and negotiation strategies.
• Contribute to contract management process improvements and CLM system enhancements, playbooks, and AI-driven solutions.
• Support cross-functional strategic initiatives across procurement, legal, and business teams as needed.
