Job summary

Entegris, based in the United States with a role in Billerica, MA (or another U.S. location), seeks a Commercial Counsel to partner with Global Procurement and the business on complex procurement and sales agreements.

The role focuses on structuring, drafting and negotiating contracts while protecting the company’s interests. The successful candidate will advise day-to-day on commercial matters, drive template improvements, support CLM enhancements and AI-driven solutions, and may consider

Qualifications

• J.D. or equivalent and active bar admission in at least one U.S. jurisdiction.
• 4+ years of commercial contracting experience (procurement and/or sales agreements).
• Experience in semiconductor, manufacturing, or high-tech industries preferred.
• Strong negotiation, drafting, and issue-spotting skills.

Responsibilities

• Serve as a primary legal advisor to Global Procurement and business stakeholders on commercial matters.
• Review, draft and negotiate supply, contract manufacturing, lease and other complex procurement agreements; support on sales agreements.
• Collaborate with Global Procurement to provide day-to-day legal advice on active commercial relationships.
• Drive contract template standardization and negotiation playbooks; contribute to CLM improvements and AI-driven solutions.
• Support cross-functional initiatives across procurement, legal, and business teams.
