Job summary

iCapital is seeking a Corporate Governance Attorney to join the Legal team in New York. The role supports and enhances iCapital's Global Corporate Governance program for domestic and international subsidiaries, ensuring compliance with laws and regulatory obligations while driving strategic initiatives.

The attorney will draft governance documents, advise on entity governance, coordinate filings, and lead board meeting preparation. 3–7 years in corporate governance with JD and U.S. bar preferred.

Qualifications

• JD degree required.
• Bar admission in at least one U.S. jurisdiction preferred
• 3–7 years corporate governance or related legal experience
• Experience supporting multinational corporate structures and subsidiary governance programs
• Strong drafting, analytical, and problem-solving skills
• Able to manage multiple priorities in a fast-paced environment
• Proficient in Word and Excel

Responsibilities

• Draft and maintain corporate governance documentation (board/shareholder records, resolutions, minutes).
• Advise on governance for U.S. and international entities.
• Prepare powers of attorney and incumbency certificates.
• Coordinate with agents for filings and records.
• Develop and enhance governance policies and procedures.
• Support formations, dissolutions, restructurings, mergers, and related records.
• Provide legal support for subsidiary governance, audits, and regulatory inquiries.
• Lead board/committee meeting preparation and minutes tracking.
• Collaborate with Legal, Compliance, Finance, Tax on governance initiatives.
• Support other legal matters and strategic projects as assigned.
