Job Description
Job Summary:

Eurofins’ corporate development team leads the execution of the company’s strategic business and financial goals through merger and acquisition activity across all business lines. Our inorganic growth is a key component of Eurofins’ overall strategy. The company has historically completed several dozen transactions annually on a global basis.

The Associate will manage a complete pipeline of M&A targets in the United States that generate $10MM to $50MM in new revenues annually, with an appropriate return in line with Eurofins’ financial objectives. This is a highly visible role in the organization with direct exposure to, and interaction with, business and corporate leadership.

The ideal candidate will have 4-6 years of experience in corporate development, transaction advisory, investment banking, or private equity.

Job Duties and Responsibilities:
Sourcing and Strategy:
  • Market analysis and identification of potential acquisition targets through lists of accreditations, market rumors, and internal inputs.
  • Select targets with business leaders based on strategic relevance and likelihood of success (long list).
  • Coordinate information flow between targets, Business Unit, and Eurofins via log-file (long list) and active project list (short list).
  • Approach potential targets, check for owner interest/objectives, and sell the Eurofins concept.
M&A Execution:
  • Negotiate confidentiality agreements and analyze preliminary data such as confidential information memoranda, management presentations, financial statements, shareholding, and leadership details.
  • Evaluate targets with Business Unit leaders and recommend deal structures.
  • Advise on transaction process and tactics, interface with targets, shareholders, or advisors, and assist in preparing negotiation documents.
  • Coordinate due diligence and external advisors’ activities.
  • Assist in negotiations, attend meetings, and review documentation until signing/closing.
  • Validate acquisition contracts and prepare recommendations for the investment committee.
  • Coordinate deal closing, including financial statements.
Integration of Acquired Companies:
  • Set up reporting and communication channels between acquired companies and Eurofins management.
  • Support legal reorganization, fiscal and financial optimization.
  • Follow-up on post-closing obligations.
  • Assist internal counsel with shareholder resolutions.
Qualifications
Education and Experience:
  • Bachelor’s Degree in Business or Finance; MBA or CPA preferred; science background or interest is a plus.
  • Strong understanding of finance and valuations.
  • 4-6 years in M&A, audit (Big 4), consulting, investment banking, or private equity, preferably with experience in executing M&A strategies for acquisitive companies.
  • Knowledge of M&A process (NDA, LOI, DD, SPA).
  • Fluency in English; Spanish is a plus.
  • Proficiency in MS Office tools (Excel, PowerPoint).
