Duties
- Work on executive compensation and employee benefits portions of private equity and public company transactions, including mergers and acquisitions, IPOs, and asset sales.
- Provide legal advice and counsel on executive compensation and employee benefits matters.
- Assist in the design, implementation, and administration of executive compensation plans and programs.
- Draft and review employment agreements and other compensation-related documents.
- Conduct legal research and analysis on relevant laws, regulations, and industry trends.
- Advise clients on compliance with federal and state laws, including ERISA, tax laws, and securities regulations.
- Assist in the negotiation and drafting of executive employment contracts and severance agreements.
- Collaborate with other practice groups, such as tax and corporate, to ensure comprehensive client representation.
- Stay updated on emerging legal developments and best practices in executive compensation and employee benefits.
Requirements
- Juris Doctor (J.D.) degree from an accredited law school with strong academic standing.
- Admission to practice law in the state of employment or eligibility for prompt admission.
- 2-6 years of proven legal experience in M&A transactional executive compensation and employee benefits matters, preferably in a law firm.
- Strong knowledge of relevant laws and regulations.
- Attention to detail and sharp analytical skills.
- Ability to work both independently and collaboratively in a team-oriented environment.
- Practical experience with and familiarity with legal AI tools is preferred.
Education
- Juris Doctor (J.D.) degree from an accredited law school.
