Job summary

The ideal candidate has a J.D., PA bar eligibility (or admission), and at least two years of business-law experience, with interest in securities and investment management.

Qualifications

• Business law experience (Minimum 2 Years).
• J.D. from an accredited law school.
• Active bar membership in Pennsylvania or the ability to obtain admission.
• Experience or interest in securities law, investment management, corporate law, or regulatory compliance.
• Strong drafting, research, and analytical skills.
• Excellent written and verbal communication abilities.

Responsibilities

• Draft and review LP/GP agreements, advisory agreements, and fund documents.
• Advise on formation, governance, and succession planning.
• Participate in client meetings and contribute to business development.
• Collaborate with partners and clients on legal matters.
• Assist with the formation and representation of RIAs, ERAs, and Private Funds.

We advise Registered Investment Advisers ("RIAs"), Private Fund Managers, Family Offices, Business Owners, and Financial Professionals on a broad range of legal, regulatory, and business matters.

Role Responsibilities

• Draft and review LP & GP agreements, advisory agreements, fund documents, and other legal contracts;
• Advise clients on business formation, governance, and succession planning matters;
• Participate in client meetings and contribute to business development efforts;
• Collaborate directly with partners and clients on legal matters;
• Assist with the formation and ongoing representation of Registered Investment Advisers ("RIAs"), Exempt Reporting Advisers ("ERAs"), and Private Funds;
• Conduct legal and regulatory research related to securities laws and investment management;
• Support clients with regulatory examinations, inquiries, and compliance initiatives.
