Legal

The Assistant General Counsel provides a broad array of hands-on legal advice in the areas of U.S. Government contract law and related subcontract and commercial contract law. Responsibilities include identifying risks and providing mitigation strategies, supporting complex transactions, and offering expertise in Federal Acquisition Regulations (FAR) Part 12 and 15 requirements as a prime or major subcontractor. A significant component involves procurement-focused work, including negotiations with suppliers. The role involves working directly with business counterparts, other attorneys, legal staff, and the Bell General Counsel. This is an on-site position in Fort Worth, Texas.

What you’ll be doing as an Assistant General Counsel:

  1. Work with business counterparts to identify legal risks in contractual pursuits and ongoing programs, developing mitigation strategies.
  2. Provide legal advice on terms and conditions for government prime contracts and sub-contracts, teaming agreements, joint ventures, and other business arrangements, domestically and internationally.
  3. Collaborate with procurement teams to form negotiation plans, review supplier feedback, negotiate terms, and review contract language.
  4. Advise on FAR, DFARS, UCC, and related laws affecting government contracting.
  5. Support Bell’s Contracts Department, Supply Chain Management, and Product Lines in requests for equitable adjustment, claims, and negotiations.
  6. Assist with complex legal transactions for Bell’s programs in the U.S. and abroad, including direct commercial sales and FMS.
  7. Coordinate with Ethics professionals on investigations, revolving door reviews, and training.
  8. Support audits, subpoenas, litigation, and ethics investigations.
  9. Perform other duties as assigned to meet departmental needs.

  • Team-oriented with open, mature, and positive communication skills.
  • Strong work ethic and commitment to high performance.

What you need to be successful:

  • 10+ years of experience in government contracting.
  • Juris Doctorate from an accredited law school.
  • Membership in a state Bar in good standing.
  • Ability to travel domestically and internationally on limited basis.
  • Extensive knowledge of FAR, DFARS, and related regulations; experience in contract analysis, drafting, and negotiation.
  • Eligibility for at least a Secret security clearance.
