Legal

The Assistant General Counsel provides a broad array of hands-on legal advice in the areas of U.S. Government contract law and related subcontract and commercial contract law. Responsibilities include identifying risks and providing mitigation strategies, supporting complex transactions, and offering expertise in Federal Acquisition Regulations (FAR) Part 12 and 15 requirements as a prime or major subcontractor. The role is procurement-focused, involving negotiations with suppliers. The Assistant General Counsel will work directly with business counterparts, other attorneys, legal staff, and the Bell General Counsel. This is an on-site role in Fort Worth, Texas.

What you’ll be doing as an Assistant General Counsel:

• Work directly with business counterparts, identify legal risks and issues in contractual pursuits and ongoing programs, and develop mitigation strategies.
• Provide legal advice on terms and conditions for government prime contracts and sub-contracts under FAR Part 12 and 15, teaming agreements, joint ventures, and other business arrangements, both domestically and internationally.
• Collaborate with procurement to form negotiation plans, review supplier feedback, negotiate terms, and review final contract language.
• Advise on FAR, DFARS, UCC, and related laws affecting government contracting.
• Support Bell’s Contracts Department, Supply Chain Management, and Product Lines in requests for equitable adjustments, claims, and negotiations.
• Assist with legal transactions for Bell’s programs and businesses in the U.S. and abroad, including commercial sales and FMS.
• Coordinate with Ethics professionals on investigations, revolving door reviews, and training.
• Support audits, subpoenas, litigation, and ethics investigations.
• Perform other duties as assigned.

What you need to be successful:

• 10+ years of experience in government contracting.
• Juris Doctorate from an accredited law school.
• Member of a state Bar in good standing.
• Ability to travel domestically and internationally on a limited basis.
• Extensive knowledge of FAR, DFARS, and related laws; experience in contract analysis, drafting, and negotiation.
• Eligibility for at least a Secret security clearance.
